Vistasolve Technologies is a technology company and a subsidiary of Regwakes, its parent company. We build software and digital services designed to help businesses manage their work, content, communications, and online presence more effectively. We believe people should be able to understand how the products and services they use work, how their information is handled, and what their rights and responsibilities are. We are committed to being transparent about how Vistasolve operates, how we process personal data, how we use cookies and similar technologies, and the terms that apply when you use our services. We will continue to update these resources as our products and services evolve and as applicable laws and requirements change.

Vistasolve Technologies Terms of Use

These Terms of Use ("Terms") are a legally binding agreement between you and Vistasolve Technologies ("Vistasolve", "we", "us", or "our") concerning your access to and use of Vistasolve's websites, hosted applications, software, APIs, integrations, and related services (collectively, the "Services").

By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms and our Privacy Policy, Cookie Policy, Refund and Cancellation Policy, Data Deletion Policy, and other policies incorporated into these Terms.

If you do not agree to these Terms, you may not use the Services.

Important: This document is a Vistasolve-specific working legal draft informed by the structure and topics in Buffer's current Terms of Use and legal materials. It is not copied from Buffer. Vistasolve should have qualified legal counsel review the final version, especially the governing-law, consumer-rights, privacy, payment, liability, and international provisions.

1. Definitions

For purposes of these Terms:

"Account" means the account you use to access the Services.

"Authorized User" means a person whom a customer or workspace administrator permits to access a workspace or Service under the customer's account.

"Content" means text, images, photographs, videos, audio, documents, files, data, messages, social-media posts, comments, designs, and other materials.

"Customer Content" means Content submitted, uploaded, stored, generated, transmitted, scheduled, published, or otherwise provided by you or your Authorized Users through the Services.

"Services" means Vistasolve's websites, applications, hosted software, APIs, integrations, features, tools, and related services.

"Third-Party Services" means services, platforms, APIs, websites, applications, networks, or systems operated by third parties, including social-media platforms, payment providers, cloud providers, and authentication providers.

"Workspace" means a Vistasolve workspace, organization, project environment, or other collaborative account structure through which multiple users may access the Services.

2. Service and Account

2.1 Service Overview

Vistasolve provides software and online services that may help users manage business operations, content, files, social-media accounts, communications, projects, and related workflows.

Specific features depend on the Vistasolve product, subscription plan, workspace configuration, and integrations you use.

2.2 Changes to the Services

We may add, modify, suspend, remove, or discontinue features or portions of the Services.

Changes may include:

  • Adding or removing features;
  • Changing technical requirements;
  • Changing integrations;
  • Changing usage limits;
  • Changing supported social platforms;
  • Changing API functionality;
  • Improving security;
  • Fixing technical issues; or
  • Discontinuing products or features.

Where required by applicable law, we will provide notice of material changes.

We are not responsible for losses caused solely by a third-party platform changing, restricting, or discontinuing its services or APIs.

2.3 Availability

We aim to provide reliable Services but do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may occasionally be unavailable because of maintenance, upgrades, outages, security events, infrastructure problems, or events outside our reasonable control.

2.4 Backups and Copies

You are responsible for maintaining copies of important Customer Content.

You should not rely on Vistasolve as your sole storage or backup system for important information.

3. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

Unless a product-specific agreement states otherwise, the Services are intended for users 18 years of age or older.

By using the Services, you represent that:

  • You meet the applicable minimum age requirement;
  • You have the legal capacity to accept these Terms;
  • You have not been previously suspended or removed from the Services for violating these Terms;
  • Your use of the Services complies with applicable law; and
  • If you accept these Terms on behalf of a company, organization, or other entity, you have authority to bind that entity.

4. Accounts and Registration

4.1 Account Information

Some Services require an Account.

You agree to provide accurate, complete, and current information and to keep that information updated.

4.2 Account Security

You are responsible for protecting your account credentials and for activity occurring through your Account, except to the extent caused by Vistasolve's failure to use reasonable security measures.

You should:

  • Use a strong password;
  • Keep authentication information confidential;
  • Enable available security features;
  • Not share credentials unnecessarily; and
  • Notify Vistasolve promptly if you believe your Account has been compromised.

4.3 Unauthorized Access

You may not access another person's Account without authorization.

Vistasolve may take reasonable measures to protect Accounts, including requiring additional verification, suspending suspicious sessions, or restricting access during a security investigation.

5. Workspaces, Organizations, and Authorized Users

5.1 Workspace Administration

A Workspace may allow multiple users to collaborate.

The person or entity that creates or controls a Workspace may have administrative authority over that Workspace.

Depending on the Services, Workspace administrators may be able to:

  • Invite or remove users;
  • Assign roles and permissions;
  • Manage subscriptions;
  • Access Workspace Content;
  • Connect integrations;
  • Manage projects;
  • Configure security settings; and
  • Delete or modify Workspace resources.

5.2 Customer Responsibility

Workspace administrators are responsible for ensuring that their Authorized Users:

  • Have appropriate permission to access the Workspace;
  • Follow these Terms;
  • Handle Customer Content appropriately; and
  • Comply with applicable law.

5.3 Users Leaving a Workspace

Removing a user from a Workspace may not delete information that the user previously contributed to the Workspace.

Workspace-owned Content may remain available to the Workspace according to its retention and access settings.

5.4 Workspace Ownership

If ownership or administrative control of a Workspace is disputed, Vistasolve may temporarily restrict certain administrative actions while investigating the dispute.

Vistasolve is not responsible for disputes between Workspace members.

6. Subscriptions and Payment Terms

6.1 Paid Services

Some Services require payment.

Pricing, billing frequency, features, usage limits, and applicable taxes will be presented before purchase.

6.2 Automatic Renewal

Unless otherwise stated, paid subscriptions may automatically renew at the end of each billing period.

You authorize Vistasolve or its payment provider to charge the applicable payment method for renewal fees.

6.3 Cancellation and Refunds

Cancellation, refunds, trials, upgrades, downgrades, failed payments, and related billing matters are governed by our Refund and Cancellation Policy.

6.4 Price Changes

We may change prices from time to time.

Where required by law, we will provide notice before a price change applies to an existing subscription.

6.5 Taxes

You may be responsible for applicable taxes unless Vistasolve is required to collect them.

6.6 Failed Payments

If payment fails, we or our payment provider may retry the charge and may restrict or suspend paid functionality if payment remains unsuccessful.

7. License to the Services

Subject to these Terms and any applicable subscription restrictions, Vistasolve grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purposes during the applicable subscription or authorization period.

You may not:

  • Sell, rent, lease, sublicense, or transfer access to the Services except as expressly permitted;
  • Reverse engineer or attempt to derive source code, except where applicable law expressly permits it;
  • Modify or create derivative works of the Services;
  • Remove proprietary notices;
  • Use the Services to build a substantially competing product using unauthorized access or extraction;
  • Circumvent technical restrictions or usage limits; or
  • Use the Services outside the permissions granted by your plan or agreement.

8. API License and Usage Policy

8.1 API Access

Vistasolve may provide APIs, SDKs, developer tools, documentation, webhooks, or other interfaces ("API Materials").

API access may require registration, approval, credentials, or compliance with additional API documentation and limits.

8.2 API License

Subject to these Terms and any applicable API-specific agreement, Vistasolve grants an eligible developer a limited, non-exclusive, non-transferable, non-sublicensable license to use the API Materials solely to develop and operate applications that interact with permitted Vistasolve functionality.

8.3 API Credentials

API keys, tokens, client secrets, and other credentials must be kept confidential.

You may not:

  • Publish credentials in public repositories;
  • Share credentials with unauthorized persons;
  • Use another developer's credentials;
  • Attempt to obtain credentials through deception; or
  • Circumvent authentication.

You are responsible for activity performed using your API credentials, subject to applicable law.

8.4 API Restrictions

You may not use the API to:

  • Circumvent Vistasolve usage limits;
  • Generate excessive or abusive traffic;
  • Interfere with the Services;
  • Scrape or extract information outside documented API functionality;
  • Reverse engineer private APIs;
  • Misrepresent your application as Vistasolve;
  • Violate applicable law;
  • Violate Third-Party Service rules;
  • Facilitate unauthorized access; or
  • Create security, privacy, or operational risks.

8.5 Rate Limits

Vistasolve may impose rate limits, quotas, concurrency limits, storage limits, or other technical restrictions.

We may temporarily restrict API access when necessary to protect the Services.

8.6 API Changes

APIs may change, including through version upgrades, deprecations, security updates, or changes required by Third-Party Services.

We may discontinue API versions or functionality subject to reasonable notice where practicable.

8.7 API Suspension

We may suspend or revoke API access if reasonably necessary because of:

  • Security risks;
  • Abuse;
  • Excessive traffic;
  • Terms violations;
  • Legal requirements;
  • Third-party platform restrictions; or
  • Threats to the Services.

8.8 API Feedback

If you provide feedback about the API or Services, you grant Vistasolve permission to use that feedback without restriction or compensation, subject to applicable law.

9. Ownership and Proprietary Rights

9.1 Vistasolve Property

Vistasolve and its licensors own all rights, title, and interest in:

  • The Services;
  • Software;
  • Source and object code;
  • Interfaces;
  • Designs;
  • Documentation;
  • Logos;
  • Trademarks;
  • Service names;
  • Product names;
  • Templates created by Vistasolve;
  • System-generated interfaces and functionality; and
  • Other Vistasolve intellectual property.

Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9.2 Your Content

You retain ownership of Customer Content to the extent you have ownership rights in it.

You are responsible for ensuring that you have all rights necessary for Vistasolve to process Customer Content as contemplated by these Terms.

9.3 Feedback

If you provide suggestions, ideas, recommendations, or feedback, Vistasolve may use them to improve its Services without compensation or attribution to you.

10. User Content

10.1 Your Responsibility

You are responsible for Customer Content that you submit, upload, schedule, publish, transmit, or otherwise provide through the Services.

You represent that you have the necessary rights, permissions, and authority to use and provide that Content.

10.2 License to Vistasolve

To operate the Services, you grant Vistasolve a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, process, format, modify as technically necessary, and otherwise use Customer Content solely as reasonably necessary to:

  • Provide the Services;
  • Store and synchronize Content;
  • Schedule and publish Content at your direction;
  • Provide integrations;
  • Generate requested analytics;
  • Maintain security;
  • Provide support;
  • Prevent abuse;
  • Improve reliability; and
  • Perform other functions reasonably necessary to operate the Services.

This license does not transfer ownership of your Customer Content to Vistasolve.

10.3 Social-Media Publishing

When you instruct Vistasolve to publish Content to a connected social-media account, you authorize Vistasolve to transmit the relevant Content and associated information to the applicable Third-Party Service.

Publication may be subject to:

  • Your permissions;
  • The connected account's settings;
  • Third-party platform rules;
  • API restrictions;
  • Content policies;
  • Rate limits;
  • Platform availability; and
  • Changes made by the third-party platform.

10.4 Content Removal

We may remove, restrict, or disable access to Customer Content when reasonably necessary to:

  • Comply with law;
  • Respond to a valid intellectual-property complaint;
  • Protect users or third parties;
  • Address security concerns;
  • Enforce these Terms;
  • Comply with a Third-Party Service requirement; or
  • Protect the Services.

11. Social Media and Third-Party Services

11.1 Third-Party Accounts

Vistasolve may allow you to connect accounts from third-party platforms such as social networks.

You remain responsible for your relationship with those platforms.

11.2 Third-Party Terms

Your use of a Third-Party Service is subject to that provider's terms, policies, privacy practices, and technical requirements.

You are responsible for complying with those requirements.

11.3 Authorization

When you connect a Third-Party Service, you authorize Vistasolve to access and use the information and functionality permitted by the authorization you grant.

Vistasolve does not obtain ownership of your third-party account.

11.4 Platform Changes

Third-party platforms may:

  • Change APIs;
  • Change permissions;
  • Change rate limits;
  • Restrict accounts;
  • Reject Content;
  • Remove features;
  • Change policies;
  • Experience outages; or
  • Discontinue integrations.

Vistasolve does not guarantee that any Third-Party Service will remain available or compatible.

11.5 Third-Party Content

Vistasolve may display information received from Third-Party Services.

Vistasolve does not guarantee the accuracy, availability, or completeness of third-party information.

11.6 Social Account Security

You are responsible for maintaining the security of your connected social-media accounts and for ensuring that you have authority to connect them.

12. AI Features

Vistasolve may provide artificial-intelligence features that generate suggestions, text, images, summaries, classifications, or other output ("AI Output").

12.1 AI Output

AI Output may be inaccurate, incomplete, biased, inappropriate, or unsuitable for a particular purpose.

You are responsible for reviewing AI Output before relying on, publishing, or distributing it.

12.2 Your Inputs

You are responsible for ensuring that information you submit to an AI feature may lawfully be processed for that purpose.

12.3 Third-Party AI Providers

Some AI features may rely on third-party AI providers.

Use of such features may be subject to additional provider terms and privacy practices.

12.4 AI Usage Limits

Vistasolve may impose limits on AI usage based on your plan, credits, rate limits, or other usage restrictions.

12.5 No Guarantee of Uniqueness

AI Output may be similar to output generated for other users.

Vistasolve does not guarantee that AI Output is unique or eligible for copyright protection.

13. Prohibited Conduct

You may not use the Services to:

  1. Violate any applicable law or regulation.
  2. Infringe, misappropriate, or violate another person's intellectual-property rights.
  3. Violate privacy, publicity, confidentiality, or other rights.
  4. Upload malicious code, malware, ransomware, or harmful software.
  5. Attempt unauthorized access to accounts, systems, networks, or APIs.
  6. Interfere with or disrupt the Services.
  7. Circumvent security measures.
  8. Abuse rate limits or technical restrictions.
  9. Use automated methods outside permitted APIs or documented functionality.
  10. Impersonate another person or organization.
  11. Engage in deceptive or fraudulent behavior.
  12. Create fake identities or accounts for abusive purposes.
  13. Use the Services to distribute unlawful or harmful content.
  14. Use the Services to harass, threaten, stalk, or abuse others.
  15. Use the Services to distribute spam or unwanted communications.
  16. Attempt to manipulate social-media platforms through deceptive automation.
  17. Use the Services in violation of a connected platform's rules.
  18. Upload content you do not have the right to use.
  19. Attempt to obtain another user's private information without authorization.
  20. Resell or commercially exploit the Services except as expressly permitted.
  21. Use the Services to build or operate infrastructure intended to circumvent third-party platform restrictions.
  22. Probe, scan, or test the security of the Services without authorization.
  23. Use the Services in a way that creates unreasonable operational or security risk.
  24. Encourage or assist another person to violate these Terms.

Vistasolve may maintain additional product-specific acceptable-use rules.

14. Intellectual Property Protection

14.1 Copyright Complaints

Vistasolve respects intellectual-property rights.

If you believe Content available through the Services infringes your copyright, you may submit a copyright complaint through the procedure described in our Copyright/DMCA Policy, where applicable.

14.2 Repeat Infringement

Vistasolve may suspend or terminate accounts that repeatedly infringe intellectual-property rights.

14.3 Trademarks

You may not use Vistasolve's trademarks, logos, product names, or branding without authorization.

Third-party trademarks remain the property of their respective owners.

15. Privacy and Data Protection

Our Privacy Policy explains how Vistasolve collects, uses, shares, protects, and retains personal information.

Where Vistasolve processes personal information on behalf of a business customer, additional contractual terms may apply, including a Data Processing Agreement.

You may also consult our:

  • Privacy Policy;
  • Cookie Policy;
  • Data Deletion Policy;
  • Subprocessor information; and
  • Security information.

16. Confidentiality

If you receive non-public information from Vistasolve that is clearly confidential or should reasonably be understood to be confidential, you agree to use reasonable care to protect it and not disclose it except as necessary to use the Services or as required by law.

Similarly, Vistasolve will use reasonable measures to protect non-public information you provide to us, subject to our Privacy Policy and applicable agreements.

This section does not create a separate confidentiality obligation for information that:

  • Is publicly available without breach;
  • Was already lawfully known;
  • Is independently developed; or
  • Is lawfully received from another source without a confidentiality obligation.

Enterprise customers may have additional confidentiality obligations under a separate agreement.

17. Security

Vistasolve uses reasonable administrative, technical, and organizational measures designed to protect the Services and information processed through them.

No Internet-based service can be guaranteed completely secure.

If you discover a security vulnerability, please report it through:

Do not publicly disclose or exploit a vulnerability before giving Vistasolve a reasonable opportunity to investigate and address it.

18. Term and Termination

18.1 Term

These Terms begin when you accept them or first access the Services and continue until terminated.

18.2 Termination by You

You may stop using the Services at any time.

You may cancel a paid subscription according to our Refund and Cancellation Policy.

18.3 Termination or Suspension by Vistasolve

We may suspend or terminate access if:

  • You materially violate these Terms;
  • You violate applicable law;
  • You create security or operational risks;
  • Payment remains overdue;
  • You misuse the Services;
  • A third-party platform requires us to do so;
  • We are legally required to do so; or
  • We discontinue the relevant Service.

Where reasonably practicable and appropriate, we may provide notice and an opportunity to resolve the issue before termination.

18.4 Effect of Termination

After termination:

  • Your right to use the Services ends;
  • We may disable access to your Account;
  • Your subscription may stop;
  • Certain Customer Content may become inaccessible;
  • Data may be deleted according to our retention practices; and
  • Provisions that by their nature should survive termination will continue.

18.5 Social-Media Content After Termination

Termination of your Vistasolve Account does not automatically delete Content already published to Third-Party Services.

You must manage deletion of such Content through the applicable Third-Party Service or available Vistasolve functionality.

19. Data Deletion and Retention

Account deletion and personal-information deletion are governed by our Data Deletion Policy and Privacy Policy.

Vistasolve may retain information where necessary or permitted for:

  • Legal compliance;
  • Security;
  • Fraud prevention;
  • Dispute resolution;
  • Accounting;
  • Enforcement of agreements;
  • Backup and disaster recovery; or
  • Other legitimate purposes permitted by law.

You should retain independent copies of important Customer Content.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Vistasolve and its officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising out of or relating to:

  • Your material violation of these Terms;
  • Your unlawful use of the Services;
  • Your Customer Content;
  • Your infringement or violation of another person's rights;
  • Your misuse of Third-Party Services;
  • Your violation of applicable law; or
  • Your unauthorized use of the Services.

This obligation does not apply to the extent a claim results from Vistasolve's own gross negligence, willful misconduct, or other conduct that cannot legally be excluded.

21. Disclaimers and No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

VISTASOLVE DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • THE SERVICES WILL BE ERROR-FREE;
  • THE SERVICES WILL MEET EVERY REQUIREMENT;
  • CONTENT WILL NOT BE LOST;
  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE;
  • SOCIAL-MEDIA POSTS WILL ALWAYS PUBLISH SUCCESSFULLY;
  • ANALYTICS WILL ALWAYS BE COMPLETE OR ACCURATE;
  • AI OUTPUT WILL BE ACCURATE OR APPROPRIATE; OR
  • SECURITY VULNERABILITIES WILL NEVER EXIST.

Nothing in these Terms excludes a warranty or legal right that cannot lawfully be excluded.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VISTASOLVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR EXPECTED SAVINGS ARISING FROM OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, VISTASOLVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO VISTASOLVE FOR THE RELEVANT SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. US$100.

This limitation does not apply to liability that cannot legally be limited or excluded.

For business customers, a separate written agreement may establish different liability terms.

23. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites and services.

Vistasolve does not control those services and is not responsible for their:

  • Availability;
  • Content;
  • Security;
  • Privacy practices;
  • Terms;
  • Policies; or
  • Performance.

Your use of Third-Party Services is governed by the applicable third party's terms.

24. Dispute Resolution

24.1 Informal Resolution

Before initiating formal proceedings, you agree to contact Vistasolve and provide a reasonable opportunity to resolve the dispute informally.

24.2 Governing Law

These Terms and disputes arising from them will be governed by the laws of Kenya, without giving effect to its conflict of laws provisions. Except as set forth in Dispute Resolution, any claim, lawsuit or proceeding arising out of or related to these Terms must be brought exclusively in the magistrate court at Nairobi and You hereby consent to the exclusive jurisdiction and venue of such courts.

Mandatory consumer-protection laws applicable to you are not excluded by this provision.

24.3 Arbitration / Courts

Vistasolve should not publish this section until the applicable governing law, court jurisdiction, arbitration rules, consumer rights, and enforceability requirements have been reviewed for its target markets.

25. Export and Sanctions Compliance

You may not use the Services in violation of applicable export-control, sanctions, or trade laws.

You are responsible for ensuring that your use of the Services and your provision of Customer Content comply with laws applicable to you.

26. Compliance With Laws

You agree to use the Services in compliance with applicable laws and regulations.

This includes laws relating to:

  • Privacy;
  • Data protection;
  • Intellectual property;
  • Advertising;
  • Marketing communications;
  • Consumer protection;
  • Social-media activity;
  • Electronic communications; and
  • Content distribution.

Vistasolve is not responsible for determining whether your particular use of the Services complies with the laws applicable to your business.

27. No Professional Advice

The Services may provide analytics, suggestions, AI-generated output, templates, or other information.

Such information is provided for general informational and operational purposes and does not constitute legal, financial, tax, accounting, medical, or other professional advice.

You are responsible for obtaining professional advice when appropriate.

28. Force Majeure

Vistasolve will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • War;
  • Civil unrest;
  • Government action;
  • Internet or telecommunications failures;
  • Cloud infrastructure failures;
  • Widespread cyber incidents;
  • Third-party platform outages;
  • Labor disputes; or
  • Other events beyond reasonable control.

29. Notices

We may provide notices through:

  • Email;
  • In-product notifications;
  • Account notices;
  • The Vistasolve website; or
  • Other reasonable electronic means.

You are responsible for keeping your contact information current.

30. Assignment

You may not assign or transfer these Terms or your Account without Vistasolve's prior written consent, except where applicable law permits otherwise.

  • A merger;
  • Acquisition;
  • Corporate reorganization;

31. No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create rights for third parties.

32. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

33. Waiver

A failure to enforce a provision of these Terms does not waive our right to enforce that provision later.
